The following Terms of Service (“Terms”) between you (“you” or “your”) and PALANTA.CO .CO (“we,” “our,” or “us”) describes the terms and conditions on which you may access and use the PALANTA.CO (“PALANTA.CO”) website located at www.PALANTA.CO.co (the “Site”) and related services including PALANTA.CO’s product rental services (together with the Site and the PALANTA.CO Content, as defined below, the “Services”). By accessing or using any of the Services, you acknowledge that you have read, understood and agreed to be bound by these Terms.

1. Definitions

1.1 “PALANTA.CO ” (“we”, “our” or “us”) means PALANTA.CO its successors and assigns or any person acting on behalf of and with the authority of PALANTA.CO. The registered company, PALANTA.CO, Balistraat 14., Den Haag, Chamber of Commerce number: 76324494, VAT number: NL003354755B80.

1.2 “Services” means the PALANTA.CO website located at PALANTA.CO.co (the “Site”) and related services including PALANTA.CO’s fashion rental services, conscious events and its content (the “Content”).

1.3 “User” (“client”, “customer”, “you” or “your”) means the User or any person acting on behalf of and with the authority of the User. The (legal) person who orders, rents or buys clothing from or through PALANTA.CO or who takes out a subscription with PALANTA.CO.

1.4 “Product” means all Products (including any fashion accessories e.g. dresses) supplied or rented by PALANTA.CO to the User (and where the context so permits shall include any incidental supply of services). The Product shall be as described on any invoices or other documentation provided by PALANTA.CO to the User.

1.5 “Rental Period” means the period (e.g. from 5th April to 5th May) that the User booked the Product for – starting from the day the User paid the fees of the Product via the Site, to the 1 month for baby items and 2 weeks for women and maternity items, until the Product is supposed to be returned to PALANTA.CO.

1.6 “Rental Price” (the “price”) means the cost of the hire of the Product as agreed between PALANTA.CO and the User subject to clause 2 of this contract.

1.7 “Rental Return Due Date” means the date the Product is expected to be back at PALANTA.CO’s warehouse. The Rental Return Due Date is calculated to be one business day before the end of the Rental Period, two days before the next rental period.

1.8 “Security Deposit” A security deposit may be used to collect additional costs due, as in late fees, damage to the Product or in case of no return.

2. Price and Payment

2.1 The Price shall be PALANTA.CO’s current Price, at the date of payment of the Product, according to PALANTA.CO’s current Price list as detailed on PALANTA.CO’s website.

2.2 PALANTA.CO reserves the right to change the Price in the event of a variation to the User’s requirements.

2.3 The Price on PALANTA.CO’s Site stated as a subscription fee or ticket price for events.

2.4 PALANTA.CO is entitled to demand a security deposit upon the already paid deposit. When registering on the Site the User grants permission, if required, to make available a security deposit, for example via Ideal or Credit Card. That security deposit may be used to collect additional costs due, as in late fees, damage to the Product or in case of no return.

2.5 PALANTA.CO is entitled to set off amounts due and/or to suspend its Service at any time.

2.6 The payment shall be due before the delivery of the Product.

2.7 Payment may be made by credit card (only Amex, Mastercard and Visa accepted), iDeal or by any other method as agreed to between PALANTA.CO and the User.

2.8 All Prices on our website are denominated in Euro.

2.9 If there is damage on the Product and there was no Insurance paid by the User, PALANTA.CO has the right to invoice and charge the reparation cost to the User. 

2.10. All prices are in euros and include VAT.

2.11 The prices for rental are indicated on the website. PALANTA.CO reserves the right to change prices at any time. The prices stated at any time are the final prices. No rights can be derived from previously shown prices. If a price increase is made in the case of a subscription, the customer has the right to terminate the agreement within eight days after it is or could have become aware of the price increase.

2.12. The customer with a subscription receives a monthly invoice for baby items and 2 weekly invoices for women and maternity items with an overview of the costs incurred, which are debited by means of the collection.

2.13. Shipping costs for one-time back and forth are included in the subscription unless stated otherwise.

2.14. Payment of the subscription is made by direct debit. Activation of this is done via an e-mandate SEPA authorization (electronic authorization) when taking out the subscription. Payment of items of clothing via separate rental takes place at the time of placing the order and takes place via iDeal or Paypal.

2.15. PALANTA.CO is entitled to suspend the rental subscription as well as the delivery of clothing until all payments due by the customer to PALANTA.CO has been paid in full.

2.16. No refund will be made if the rented garments are returned earlier than the agreed rental period.

2.17. When taking out a subscription, the customer is obliged to fill in a registration form. PALANTA.CO may require the customer to show a valid ID.

2.18. PALANTA.CO reserves the right to terminate the subscription immediately at any time.

3. Rental, Rental Period and Late Fees

3.1 Rental period shall commence from when the User (or a third party nominated by the User) paid the fees of the Product via the Site and shall continue until the Product is supposed to be returned to PALANTA.CO.
If it is not back to us by the end of the retinal period (but you communicated it) we will charge €30 late fee/day until it is back, the invoice is sent weekly. If you did not reply to the email we will send you a separate email, then call you to clarify. If we cannot reach you before 2 days of the end of the rental period, we will consider the item as lost and charge a late fee of €30/item for each day overdue.

3.2 When Product has not been returned (but was communicated to be returned by the User towards PALANTA.CO) to PALANTA.CO by the Rental Return Due Date then PALANTA.CO shall be entitled to charge additional hire fees until the Product is returned to PALANTA.CO and the User expressly authorizes PALANTA.CO to deduct such additional hire fees from the User’s credit card which was provided at the time of placement of the User’s order. Such additional charges shall be charged a fixed fee of €30 for each day overdue. If PALANTA cannot charge the User, an invoice will be sent with an obligation to pay.

3.3 When counting overdue days PALANTA.CO shall not count either Sundays or Public Holidays when the shipping partner does not operate as being part of the overdue period.

3.4 If the User pays PALANTA.CO an amount equal to 100% of the recommended retail value in late fees and the User still has the Product(s) in their possession, the Product(s) is The User’s to keep.

3.5 If the User has not returned the rental Product(s) within 15 days after the return date, PALANTA.CO will consider the rental Product(s) as non-returned and will charge the User’s credit card 100% of the recommended retail value minus the rental and late fees that the User has already paid (and the User can keep the Product(s)). If PALANTA cannot charge the User, an invoice will be sent with an obligation to pay.

3.6 In case the User notifies PALANTA.CO about keeping the Product(s) for longer, then an auto-renewal subscription fee will be deducted from the User’s credit card.

3.7. PALANTA.CO reserves the right at all times to refuse rental to the customer.

3.4 If a late fee or subscription is not paid by the User after 1 week, PALANTA has the right to contact with a collection company.

4. Delivery of the Product

4.1 At PALANTA.CO’s sole discretion delivery of the Product shall be deemed to have taken place when the Product is delivered to the User’s nominated delivery address and the User (or a third party nominated by the User) has signed the delivery receipt.

4.2 There is a €5 shipping fee below orders of €19 (one-time delivery and one-time return) which shall be paid at the checkout by the User. For orders €19 or above, PALANTA provides free shipping (one back and forth).

4.3 PALANTA.CO provides a possibility to visit its HQ (Balistraat 14., 2585XS, Den Haag) with a scheduled appointment to try on the Product(s) and pick them up – free of charge.

4.4 In case of renting more than one item and the User decides to send them back separately, the User shall pay the shipping costs of the separate returns. (As the shipping cost of €5 (paid at the checkout) is for one-time delivery to the User and one-time return from the User to PALANTA.CO’s warehouse.)
The order will be sent via a logistics service provider to be appointed by PALANTA.CO.
Each shipment is provided with a Track & Trace number, which PALANTA.CO and the User receives by email and with which it can provide more insight into the status of the shipment via a web link. If a shipment has not arrived after 2 working days, the Consumer must report this via hello@palanta-wordpress-production.onrender.com
PALANTA.CO will make every effort to resolve this situation satisfactorily.

4.3 The User shall make all arrangements necessary to take delivery of the Product whenever tendered for delivery. In the event that the User is unable to take delivery of the Product at the nominated delivery address, the Product will reach the client only the next day. The redelivery will depend on preference indicated by the User during check-out. In this case PALANTA.CO is required to either redeliver the Product the following day at the indicated address or deliver it at a pick-up point in close vicinity of the address. The User will receive a message where the package can be collected in case of a delivery pick-up option the following day. PALANTA.CO can charge the User for any additional shipping fees caused by the negligence of the User.

4.4 Any delivery time or date given by PALANTA.CO to the User is an estimate only. The User must still accept delivery of the Product even if late and PALANTA.CO will not be liable for any loss or damage incurred by the User as a result of the delivery being late.

5. Risk/Insurance

5.1 PALANTA.CO retains property in the Product nonetheless all risk for the Product passes to the User on delivery.

5.2 The User accepts full responsibility for the safekeeping of the Product.

5.3 PALANTA.CO offers damage insurance for €8, which can be selected on each product page before adding the product to cart. This optional insurance is for costs up to the value of fifty euros (€50) to cover minor damage or staining. For major damage and/or staining if PALANTA.CO assesses (at its sole discretion) that the cost of repairs will be over fifty euros (€50), then the User will be required to pay the difference (e.g. if the repair cost is one hundred and fifty euro (€150), then PALANTA.CO will require the User to pay hundred euros (€100)).

5.4 If the Product gets lost, stolen or damaged beyond repair, whether or not such loss, theft, or damage is attributable to any negligence, failure, or omission of the User then the User will be liable to pay for 100% of the retail value of the Product.

5.5. In the event of gross or irreparable damage (holes, tears, burn and/or scorch marks or non-removable stains) or loss of the garment, the market value of the rented garment will be charged to the customer. The market value is based on the original retail price of the product and the number of times the garment has already been rented out. The market value is determined by PALANTA.CO.

5.6 To prevent the potential use of fraudulent credit cards (or other payment types), PALANTA.CO withholds the right to request proof of identity for orders it deems high value. . Where fraudulent activity is suspected, PALANTA.CO follows internal verification methods to ensure that the order is valid. If PALANTA.CO cannot confirm this, the order may be cancelled. If this is the case, the customer will be notified by email.

5.7 If the User did not select and pay the €8 insurance, the User is responsible for the full repair cost.

6. Defects

6.1 The User shall inspect the Product on delivery and shall within four (12) hours of receipt of the Product notify PALANTA.CO (by phone or email) of any alleged defect, shortage in quantity, damage, failure to comply with what was ordered.

6.2 As Product(s) rented from PALANTA.CO’s Site is preloved there might be signs of usage or other alterations. The damages will be stated on PALANTA.CO’s Site under the link www.palanta.co/imperfectly-perfect

7. Sizing Issues/Returns

7.1 If the User wishes to cancel an order, then they must contact PALANTA.CO as soon as possible. If the Product hasn’t been dispatched from PALANTA.CO’s premises yet, there will not be any cancellation fees. However, if the Product has been dispatched, a cancellation fee of twenty-five euros (€25) per Product will apply. PALANTA.CO will issue a full refund less the cancellation fee upon return of the Product to PALANTA.CO. The Product should be returned to PALANTA.CO within twenty-four (24) hours of signing for the delivery with tags still intact and the return slip completed.

7.2 All Products which is to be returned because of incorrect sizing or because the User has changed their mind must be sent back to PALANTA.CO within twenty-four (24) hours of signing for the delivery (with tags still intact and the return slip completed), and PALANTA.CO will send out the User a new size or the new selected dress. If for some reason PALANTA.CO doesn’t have an alternative size (since PALANTA.CO has limited sizes in stock of each Product), it may be that the requested Product is unavailable, or the User does not request a new dress, PALANTA.CO will issue the User a full refund of the dress rental cost.

7.3 Once PALANTA.CO has received an unworn, tagged dress, as well as the User’s return request, PALANTA.CO will email the User a refund request confirmation within three (5) working days. Whilst PALANTA.CO will make every effort to process a refund as quickly as is possible, the refund process can take approximately two to four weeks dependent on the independent processing time taken by the User’s credit card provider and the User acknowledges that PALANTA.CO has no control over such Credit card issuers processes.

8. User’s Responsibilities

8.1 The User shall:

(a) immediately notify PALANTA.CO of any damage to the Product that occurs during the rental period;

(b) on termination of the rental, deliver the Product complete with all accessories, in good order as delivered;

(c) keep the Product in their own possession and control and shall not assign the product to a third party or others;

(d) not alter or make any additions to the Product or in any other manner interfere with the Product

(e) follow the washing and care instructions inside the Product or on the Product page on the Site, only wash the Product if necessary.

9. Cancellation

9.1 PALANTA.CO may cancel these terms and conditions or cancel the delivery of Product at any time before the Product is delivered by giving written notice. On giving such notice PALANTA.CO shall repay to the User any sums paid in respect of the Price. PALANTA.CO shall not be liable for any loss or damage however arising from such cancellation.

10. Applicability

10.1. These general terms and conditions apply to – and form an inseparable part of – every offer, quotation and agreement relating to the products and services of whatever nature to be delivered by PALANTA.CO, unless expressly agreed otherwise in writing.

10.2. These terms and conditions can only be deviated from if the parties have agreed explicitly and in writing.

10.3. By using the services and / or products of PALANTA.CO you agree to these general terms and conditions. The general terms and conditions apply to products and services in both the webshop and during live events/pop-up stores. The general terms and conditions apply to the individual rental, sale of clothing and workshops, events.

11. Establishment and amendment of the agreement

11.1. All offers made by PALANTA.CO, in whatever form, are without obligation unless the offer includes a term for acceptance.

11.2. PALANTA.CO and the User can enter into a rental agreement consisting of a separate rental. A rental agreement is only concluded by written (order) confirmation from PALANTA.CO or by actual execution by PALANTA.CO.

11.3. All indications in offers or agreements, as well as the information provided on the website, such as images, sizes, colors and materials are indicative only. This also applies to oral and written communications. PALANTA.CO endeavours to display all information provided as accurately as possible. Deviations, including but not limited to clothing that is wider or smaller than indicated, are not at the expense and risk of PALANTA.CO.

11.4. Apparent clerical errors or mistakes in the offers of PALANTA.CO release it from the obligation to fulfil and / or any obligations to pay compensation ensuing therefrom, even after the conclusion of the agreement.

12. Force majeure

12.1. PALANTA.CO is not liable if a shortcoming is the result of force majeure. During the period in which there is force majeure, the obligations of PALANTA.CO is suspended. If the period in which the fulfilment of the obligations by PALANTA.CO is not possible due to force majeure lasts longer than three months, both parties are entitled to dissolve the agreement without judicial intervention, without any obligation to pay compensation in this respect.

12.2. The term ‘force majeure’ as referred to in this article is, in any case, understood to mean unforeseen circumstances, also of an economic nature, which have arisen through no fault or fault of PALANTA.CO.

13. Liability

13.1. PALANTA.CO is not liable for a shortcoming and / or damage caused by the use of our services or products and attributable to PALANTA.CO unless there is intent, gross negligence or willful recklessness on the part of PALANTA.CO.

13.2. In all cases in which PALANTA.CO is liable, its liability is limited to a maximum of the amount of the ordered and paid item of clothing or the rental price of the relevant item of clothing. PALANTA.CO is explicitly not liable for consequential damage and / or personal injury.

14. Registration information

14.1. The customer is obliged to provide correct, current and complete information (registration data) on the registration form. The customer is responsible for updating this information in case of changes. PALANTA.CO cannot be held liable for damage caused because the customer’s registration data is not up to date.

14.2. PALANTA.CO uses the registration information only to deliver the clothing ordered by the customer and to provide updates and information regarding our products and services. PALANTA.CO protects the customer’s personal information. PALANTA.CO will not sell the information provided by the customer to third parties and its processing is subject to existing privacy laws and regulations in the Netherlands.

14.3. Underage customers, or customers acting on someone else’s behalf, require the consent of the individual or a legal representative.

15. Disputes and applicable law

15.1. If there is a complaint, the customer can report this complaint by sending an email message to hello@palanta-wordpress-production.onrender.com. The customer’s complaint will be handled by PALANTA.CO within one week of receipt of the complaint.

15.2. If there is uncertainty about the interpretation of one or more provisions of these general terms and conditions, the interpretation of that provision (s) must take place ‘in the spirit’ of these general terms and conditions.

15.3. Dutch law applies to an agreement concluded with PALANTA.CO.

15.4. Any disputes relating to this agreement or arising from this agreement will in the first instance be settled exclusively by the competent court in the district in which PALANTA.CO is located at the time of the conclusion of this agreement.

16. Events

16.1 Events offered or organized by PALANTA.CO are stated on the Site.

16.2 By purchasing the ticket the User agrees to these terms and conditions.

16.3 PALANTA.CO is not liable for any harm or damage that happened during the events.

16.4 The User shall cancel the registration 7 days before the event. If the User cancels their registration PALANTA.CO or the co-organizing party shall return the full ticket amount.

16.5 In case the User does not cancel the registration or cancels it within 7 days of the event, PALANTA.CO or the other organizing party will not refund the registration fee. PALANTA.CO will offer another ticket for an upcoming event, the User can decide or decline the offer.

17. Retention of title

17.1. All clothing to be delivered and delivered by PALANTA.CO in the context of the rental remains the property of PALANTA.CO under all circumstances.

17.2. The customer is obliged to keep the clothing delivered under retention of title with due care and as the recognizable property of PALANTA.CO.

17.3. The customer is not authorized to rent out, lend, sell or transfer all or part of the clothing delivered under retention of title to third parties.

18. Final provision

18.1. If (any part of) a provision of these terms and conditions is null and void or is made ineffective, the other (parts of the) condition (s) will remain in full force.

18.2. PALANTA.CO reserves the right to change these Conditions. PALANTA.CO will announce changes at least two weeks before they come into effect.

With our subscription, you rent the clothing for a month and you can keep it in your possession for this period. The rental period starts when you subscribe to the clothes via our website. You shall return the rented item(s) until the end of the subscription period (within 30 days – 1 month). Returns usually take 3 days.
We believe our items can be combined and styled in different ways. With PALANTA you will have 30 days – 1 month to experiment. With this, our shipping, packaging and dry-cleaning rounds are less than offering 4 or 8 days of rental.

If you see that one clothing is rented out at the moment, you can subscribe to the clothing using the form at the product page. When the clothing is available you’ll be notified.
